Microsoft Open to a Yahoo Deal If Icahn's Board Takes Charge

Microsoft would be willing to once again discuss a deal with Yahoo if investor Carl Icahn's proposed board is elected.

"After the shareholder election Microsoft would be interested in discussing with a new board a major transaction with Yahoo!, such as either a transaction to purchase the 'Search' function with large financial guarantees or, in the alternative, purchasing the whole company," Microsoft confirmed in a statement released today.

Frustrated that a Microsoft-Yahoo merger never came to fruition, in mid-May Icahn submitted his own slate of directors to replace Yahoo's current board; Yahoo's annual shareholder meeting is Aug. 1.

Shares in Yahoo jumped 10.4 percent in early trading Monday, to $23.58.
